1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and OwnerLens ("Company," "we," "us," or "our") concerning your access to and use of the OwnerLens website, platform, and services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
We reserve the right to make changes to these Terms at any time. We will notify you of material changes via email or prominent notice on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
2. Beta Service Disclaimer
IMPORTANT: OwnerLens is currently in private beta. The Services are provided on an "as-is" and "as-available" basis for testing and feedback purposes.
Beta Limitations:
- Features may be incomplete, unstable, or subject to change without notice
- Document parsing and AI features are experimental and may contain errors or inaccuracies
- Service availability and performance are not guaranteed
- We may reset, modify, or discontinue features during the beta period without liability
- Beta users are limited to 10 document uploads during the initial beta phase
No Warranties: Beta Services are provided without warranties of any kind. You use the Services at your own risk. Do not rely solely on OwnerLens for critical business decisions during beta.
3. User Eligibility
You must meet the following requirements to use the Services:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Services under applicable law or previous Terms violations
- If using the Services on behalf of an organization, have the authority to bind that organization to these Terms
By creating an account, you represent and warrant that you meet these requirements.
4. Account Registration and Security
4.1 Account Creation
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
4.2 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent activity, or any other reason we deem necessary to protect the Services or other users.
4.3 Data Retention After Termination
Upon account termination, your data will be deleted within 90 days, except where retention is required by law. You may request immediate data deletion by contacting support@ownerlens.com.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable local, state, national, or international law or regulation
- Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the Services
- Attempt to gain unauthorized access to the Services, other user accounts, or computer systems
- Use the Services to harass, abuse, threaten, or intimidate any person or entity
- Impersonate any person or entity, or falsely state or misrepresent your affiliation
- Scrape, crawl, or use automated tools to extract data from the Services without permission
- Reverse engineer, decompile, or disassemble any portion of the Services
- Use the Services for any illegal or fraudulent purpose
5.2 Content Restrictions
You agree NOT to upload or transmit:
- Content that is illegal, harmful, threatening, abusive, or defamatory
- Content that infringes on intellectual property rights, privacy, or other rights of third parties
- Sensitive personal information (SSNs, credit card numbers, health records) unless encrypted and compliant with applicable laws
- Content containing viruses, malware, or harmful code
- Spam, unsolicited advertising, or promotional materials unrelated to property management
5.3 Consequences of Violation
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of content, and potential legal action.
6. User Content and Intellectual Property
6.1 Your Content
"User Content" means any data, documents, text, images, or other materials you upload, submit, or transmit through the Services. You retain all ownership rights to your User Content.
By uploading User Content, you grant OwnerLens a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze your User Content solely for the purpose of providing and improving the Services.
6.2 Our Intellectual Property
The Services, including all software, code, design, text, graphics, logos, and other content provided by OwnerLens, are owned by or licensed to OwnerLens and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or exploit any portion of the Services without our express written permission.
6.3 AI-Generated Insights
Insights, reports, and analyses generated by OwnerLens AI from your User Content are considered derived works. You own the data you provide, but OwnerLens retains rights to the AI models, algorithms, and aggregated anonymized data used to generate insights.
6.4 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about the Services become the property of OwnerLens. We may use such feedback without compensation or attribution to you.
7. Payment and Subscription Terms
7.1 Beta Pricing
The private beta is currently free of charge. Beta users will receive 6 months of free Pro tier access after public launch, plus a lifetime 50% discount on any paid plan.
7.2 Future Paid Plans (Post-Launch)
After the public launch (March 2026), paid subscription plans will be available:
- Free Tier: 10 documents, basic property tracking
- Pro Tier ($19-29/month): Unlimited documents, full 109-metric intelligence, AI Copilot
- Portfolio Tier ($49-99/month): Advanced analytics, manager scorecards
- Enterprise Tier ($199-499/month): White-label, API access, dedicated support
7.3 Billing and Refunds
- Subscriptions are billed monthly or annually in advance
- Payment is processed securely through Stripe
- All fees are non-refundable except as required by law
- You may cancel your subscription at any time (access continues until end of billing period)
- We reserve the right to change pricing with 30 days notice
7.4 Taxes
You are responsible for all applicable taxes. We may charge sales tax, VAT, or other taxes based on your location as required by law.
8. Privacy and Data Protection
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.
Key Points:
- We do not sell or rent your personal information
- Data is encrypted in transit (TLS 1.2+) and at rest (AES-256)
- You can request data deletion at any time
- We comply with GDPR, CCPA/CPRA, and other applicable privacy laws
By using the Services, you consent to our collection and use of information as described in the Privacy Policy.
9. Disclaimers and Limitation of Liability
9.1 No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of AI-generated insights
- Warranties that defects will be corrected or that the Services are free of viruses
9.2 Not Professional Advice
OwnerLens is a software tool, not a substitute for professional advice. The Services do not constitute legal, financial, tax, or real estate advice. You should consult qualified professionals before making business decisions based on information from the Services.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWNERLENS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your reliance on AI-generated insights or document parsing
- Damages caused by errors, inaccuracies, or omissions in the Services
- Damages arising from third-party services (Supabase, OpenAI, Stripe, Plaid, etc.)
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO OWNERLENS IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
9.4 Beta-Specific Disclaimer
During the beta period, the Services are experimental and provided free of charge. You acknowledge that features may not work as intended and that you use the Services at your own risk. We are not liable for data loss, errors in document parsing, or any other issues during beta testing.
10. Indemnification
You agree to indemnify, defend, and hold harmless OwnerLens, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your User Content
- Any harm caused to third parties through your use of the Services
11. Dispute Resolution and Governing Law
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
11.2 Arbitration Agreement
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.
- Arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
- Arbitration shall take place in San Francisco, California
- The arbitrator's decision shall be final and binding
- You waive your right to a jury trial and to participate in class action lawsuits
11.3 Exceptions to Arbitration
Small claims court disputes (under $10,000) may be brought in small claims court instead of arbitration. Either party may also seek temporary restraining orders or preliminary injunctions in court to prevent irreparable harm.
12. Miscellaneous
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OwnerLens regarding the Services.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor without restriction.
12.5 Force Majeure
We shall not be liable for any failure to perform due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, labor disputes, or internet service interruptions.
